Uploading content to RE-BU

By uploading anything at re-bu.com/upload, the business named on the upload form (“Advertiser”) agrees to these Terms & Conditions. Specifically, for everything uploaded:

  1. Clauses 7 (representations), 9 (Publisher’s right to review), 11 (license to publish), 13 (indemnification) and 15 (general) apply, whether or not Advertiser has signed an Advertising Agreement.
  2. The upload is the authorization described in clause 16 for the business name, logo, trademarks, photographs and text uploaded, on the terms of clause 16, including Advertiser’s right to withdraw it at any time by email to info@re-bu.com.
  3. Any advertising Advertiser has reserved remains governed by clauses 1–15 and its signed Advertising Agreement.

We record the date and time of each upload, the details entered on the form, the version of these terms shown, and the network address the upload came from.

1The Agreement

This Advertising Agreement consists of the reservation on page 1 and clauses 1–15 of these Terms and Conditions (together, the “Agreement”) between The Business Agency LLC, doing business as RE-BU (“Publisher”), and the advertiser named on page 1 (“Advertiser”). It is binding when signed by Advertiser and countersigned by Publisher. If page 1 and these terms conflict, these terms control unless page 1 expressly provides otherwise under “Additional items.”

2Reservation & Placement

Placement is confirmed only on Publisher’s countersignature. Premium positions are limited to one per edition and are allocated in the order fully signed agreements are received. Publisher determines the position of all standard display ads and will make reasonable efforts to honor requested positions, but only premium positions listed on page 1 are guaranteed. Each ad runs in the print edition(s) reserved and in the corresponding digital edition on RE-BU.com.

3Rates, Invoicing & Payment

Rates are per edition as stated on page 1 and are fixed for the editions reserved. Publisher will invoice Advertiser before each edition goes to print. Payment is due within 15 days of the invoice date. Past-due amounts accrue interest at 10% per annum or the maximum rate permitted by law, whichever is less. Publisher may withhold publication while an invoice is past due; Advertiser remains responsible for the reserved space.

4Multi-Edition Commitments

Multi-edition rates are conditioned on Advertiser running every edition reserved. If Advertiser cancels or fails to run a reserved edition, Publisher may invoice the difference between the rate charged and the single-edition rate for each edition that ran.

5Deadlines & Materials

Advertiser will deliver final, print-ready artwork meeting the specifications on page 1 by the materials deadline Publisher provides for each edition. If materials are late or nonconforming, Publisher may (a) run Advertiser’s most recent ad, (b) prepare a simple ad from Advertiser’s logo and contact details, or (c) leave the space unfilled, and in each case the full rate applies. Publisher is not responsible for reproduction quality of materials that do not meet specifications, or for minor color variation inherent in printing. Design or production services Advertiser requests from Publisher are billed separately at rates Publisher quotes in advance.

6Cancellation

Advertiser may cancel a reserved edition by written notice received before that edition’s space deadline, which is 15 days before publication. Cancellations received after the space deadline are charged in full. Premium positions may not be canceled within 15 days of the space deadline. Cancellation does not affect amounts owed for editions already published.

7Advertiser Representations

Advertiser represents and warrants that: (a) it has authority to enter this Agreement; (b) it owns or has licensed all content in its ads, including text, images, logos and trademarks, and their publication will not infringe or violate anyone’s rights; (c) all statements in its ads are true, not misleading, and substantiated; (d) it holds every license required for the services advertised and, if a contractor, its ads display its current California Contractors State License Board license number as required by Business and Professions Code § 7030.5; and (e) its ads comply with all applicable laws, including consumer-protection and disaster-related pricing laws.

8Continuing Obligations

Advertiser will promptly notify Publisher in writing if any license, bond, or insurance required for its advertised services lapses or is suspended or revoked. Publisher may suspend or withdraw any ad for a business whose license is suspended, revoked, or not found in the public record, and the unused portion of the fee will be credited to Advertiser’s account.

9Publisher’s Right to Review

All ads are subject to Publisher’s acceptance. Publisher may reject, require changes to, or remove any ad it reasonably believes is misleading, unlawful, or inconsistent with its standards, and may label any ad “Advertisement” or “Sponsored.” If Publisher rejects an ad for reasons other than Advertiser’s breach, Advertiser’s sole remedy is a refund or credit of the amount paid for that ad.

10Editorial Independence

Advertising purchases space, not editorial judgment. Payment does not purchase, influence, or improve any editorial coverage, review, ranking, grade, or verification result published by Publisher, including results from Rebuild Verify, and no such result is offered for sale. Paid editorial, including the Front Cover & Editorial Feature, will be identified as sponsored content. Publication of an ad is not an endorsement or recommendation of Advertiser.

11License to Publish

Advertiser grants Publisher a non-exclusive, royalty-free license to reproduce, display, and distribute its ads and supplied materials in the reserved editions, on RE-BU.com, on RE-BU social channels promoting those editions, and in archival copies of the editions.

12Errors & Limitation of Liability

If Publisher materially misprints an ad through its own error, Publisher will, at its option, run a corrected ad in the next available edition at no charge or credit the amount paid for the affected ad. Advertiser must report errors in writing within 10 days after publication. Publisher’s total liability under this Agreement is limited to the amount Advertiser paid for the affected ad. Neither party is liable for indirect, incidental, consequential, or lost-profit damages. Publisher does not guarantee circulation, readership, traffic, response, or results.

13Indemnification

Advertiser will defend, indemnify, and hold harmless Publisher and its owners, officers, employees, and agents from all claims, losses, and expenses, including reasonable attorneys’ fees, arising from Advertiser’s ads or materials, its breach of this Agreement, or the services it advertises.

14Schedule Changes

Publication and distribution dates are estimates. Publisher may change an edition’s date, format, page count, or distribution. If Publisher does not publish a reserved edition, Advertiser’s sole remedy is a refund or credit of amounts paid for that edition. Neither party is liable for delay caused by events beyond its reasonable control.

15General

This Agreement is governed by California law. Venue for any dispute lies in the state or federal courts in Los Angeles County, California. The prevailing party in any action to enforce this Agreement is entitled to reasonable attorneys’ fees and costs. Advertiser may not assign this Agreement without Publisher’s written consent. Notices must be in writing and are effective on delivery by email to the addresses on page 1 or to sales@re-bu.com. This Agreement is the parties’ entire agreement on its subject; it may be amended only in a signed writing, may be signed electronically and in counterparts; and if any provision is held unenforceable, the rest remains in effect. The parties are independent contractors.

16Social Media & Content Authorization

This clause applies only if Advertiser signs the authorization on page 2, and only to the items checked there.

(a) Limited license. Each item checked is a non-exclusive, royalty-free, non-transferable license to Publisher to use that content only on Publisher’s own website, social media accounts and email newsletter, including promoted posts on those accounts, to feature Advertiser and Publisher’s directory and magazine. Publisher will not sublicense or sell it, or use it to imply Advertiser endorses anything other than Publisher.

(b) Ownership. Advertiser keeps all rights in its name, logo, photos and content, and represents that it owns them or has permission to share them, including from photographers and from anyone shown or identified in a photo, and that no photo reveals a client’s address or identity without that client’s consent.

(c) Use. Publisher may crop, resize and edit for length and format but will not change the meaning of a quote or testimonial. Posts will include Advertiser’s CSLB license number where required, and posts tied to a paid placement will be labeled as paid or sponsored.

(d) Revocable at any time. Advertiser may withdraw any or all of the authorization at any time by email to info@re-bu.com. Publisher will stop new use within 5 business days and remove or archive existing posts within 10 business days, but cannot recall printed material or reshares by others.

(e) Separate. The authorization is optional and is not a condition of advertising. Withdrawing it does not change any fee or obligation under clauses 1–15, and clause 11 continues to govern Advertiser’s ads.
